Standard agreement terms
These are the standard terms every contractor agrees to before starting work with Elevated Movements. When it’s time to sign, we’ll send you a personalized copy with your name, scope, and rate filled in.
The terms
Twelve short clauses. Plain English where we can manage it. The placeholders you see (effective date, name, services, rate) get filled in on your personal signing copy.
Section 1
This Independent Contractor Agreement is entered into as of [Effective Date], by and between Elevated Movements LLC, a California limited liability company (“Company”), and [Contractor Legal Name] (“Contractor”).
Section 2
Contractor agrees to provide the following services (“Services”): [Brief description — included on your personalized agreement]. Contractor will determine the method, details, and means of performing the Services.
Section 3
Contractor will be paid [rate / flat fee]. Payment will be made upon receipt of invoice unless otherwise agreed in writing. Contractor is responsible for all taxes related to compensation received.
Section 4
Contractor is an independent contractor, not an employee, partner, or agent of the Company. Contractor is not entitled to benefits, is responsible for all federal, state, and local taxes, and controls how and when work is performed.
Section 5
Contractor provides tax information either by uploading a completed IRS Form W-9 or by submitting the required information through the Company’s secure contractor form. Contractor is not required to submit the same information twice.
Section 6
Contractor agrees to keep confidential all non-public information related to the Company, its clients, programs, materials, and operations. This obligation survives termination of this Agreement.
Section 7
All work product, materials, content, and deliverables created by Contractor in connection with the Services are work made for hire and the sole property of Elevated Movements LLC. To the extent not considered work made for hire, Contractor assigns all rights, title, and interest in the Work Product to the Company.
Section 8
This Agreement begins on the Effective Date and continues until terminated. Either party may terminate at any time with written notice. Upon termination, Contractor is paid for approved work completed, and the confidentiality and IP provisions remain in effect.
Section 9
Nothing in this Agreement restricts Contractor from providing services to other clients, provided those services do not conflict with Contractor’s obligations here.
Section 10
This Agreement is governed by the laws of the State of California.
Section 11
This Agreement represents the entire understanding between the parties and supersedes all prior discussions or agreements.
